1. RELATIONSHIP
   1. It is recorded herein that the relationship between the Referrer and Velocity Group Inc. (trading as/doing business as Velocityopportunity.com) hereinafter referred to as (“The Company”), shall be governed by this Agreement and nothing contained herein shall be deemed to constitute a partnership, joint venture, agency, employment relationship or the like between the Referrer and The Company, nor to constitute one party the representative of the other for any purpose, except as expressly provided herein. Neither of the parties shall have any right to make decisions on behalf of the other party or to incur any credit in terms of this Agreement.
   2. The Referrer is appointed as a commission only reseller for the product/s offered by the Company from time to time on a non exclusive basis, covering all countries where they can be legally sold.
2. DURATION AND TERMINATION
   1. This Agreement shall commence on the date of approval by the Company and endure for a period of 5 years from the commencement date and thereafter shall be renewed automatically annually and indefinitely, unless terminated in accordance with the provisions of this agreement.
   2. The approval of any Referrer application is at the sole discretion of the Company.
   3. Subject to the provisions recorded in this agreement, The Company may terminate this Agreement without notice should the Referrer not attain the minimum annual sales target of US$500, to be assessed at the end of each 12 month period.
3. EXCLUSIVITY

   This agreement is not an exclusive agreement.

4. PAYMENT
   1. The products are all sold at fixed retail prices. No discounting or overcharging is allowed, including no extra fees of any kind may be added to the selling price by the Referrer. All customers pay the Company directly for all sales, and the Company shall pay the selling Referrer the stated commission percentage/s owed.
   2. All payments shall be made to and from Velocity Corporation Ltd, the appointed payment processor for Velocity Group Inc.
   3. The Referrer is responsible for all his marketing costs and any other expenses incurred in relation to performing his sales functions and executing this agreement.
5. CONFIDENTIALITY

   This Agreement is not confidential and may be shared with third parties.

6. WARRANTIES

   The Referrer warrants that:

   1. It will adhere to all sales related and business procedures and regulations issued by the Company from time to time.
   2. It will at all times promote the integrity and goodwill of the Company and its employees or contractors and will not commit any act that will compromise, undermine or negatively impact on its name and reputation, or the name and reputation of any of its employees, contractors, Referrers or any of the product/s.
   3. It may not, directly or indirectly offer products or services of alternative suppliers or other competitors (which may change from time to time) to any party, customer, entity, agent, franchisee, consultant, contractor, Referrer or employee of the company or entice or encourage any party, customer, entity, agent, franchisee, consultant, Referrer or employee of the Company to leave or disassociate himself from the Company for any purpose whatsoever.
7. BREACH

   If The Referrer:

   1. Commits any breach of this Agreement and fails to remedy the breach within 7 (seven) days after receipt of written notice via email from the Company calling upon it to do so, the Company shall be entitled, in addition to and without prejudice to any other rights it may have in terms of this Agreement or in law to:

      • Enforce specific performance of the terms of this Agreement; or
      • Cancel this Agreement (in the event of cancellation, all retail and downline commissions shall be forfeited); and
      • In either event recover such damages as it may have sustained.
      • The parties agree that any notices may be sent via email and that they shall be recorded as received on the day they were sent. The Company chooses info@velocityopportunity.com and the Referrer chooses his/her last recorded email address in his/her account panel.
8. LIMITATION OF LIABILITY
   1. The Company shall not be liable whether in contract or delict to any third party whatsoever for any direct, indirect, special or consequential damages, costs or expenses, including legal fees (on an attorney-own-client basis) as a result of the utilisation of the services/products made available to the Referrer or any customer.
9. GENERAL
   1. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes and excludes any prior agreement, understanding or arrangement between the parties, whether oral or in writing. No representation, undertaking or promise shall be taken to have been given or be implied from anything said or written in negotiations between the parties prior to this Agreement except as expressly stated in this Agreement. This Agreement is to the exclusion of all other terms and conditions submitted, proposed or stipulated by The Company (including any terms or conditions which The Company purports to apply under any purchase order, confirmation of order, specification or other document) and no terms or conditions endorsed upon, delivered with or contained in The Company's purchase order, confirmation of order, specification or other document will form part of this Agreement.
   2. Assignment. The The Company may assign this Agreement, or any part thereof without the written consent of the Referrer.
   3. Variation.No amendments, additions, alterations, modification or variation to, including but not limited to, consensual cancellation of the Agreement, settlement of disputes arising under the Agreement or agreement of compromise, including this clause, shall be of any force or effect, unless it is recorded in writing and updated in these Terms and Conditions. The Company may amend these Terms and Conditions by giving notice to the Referrer via email that such changes have been made.
   4. Survival of terms.The expiration or termination of the Agreement shall not affect such of the provisions of the Agreement as expressly provide that they will operate after any such expiration or termination or which of necessity must continue to have effect after such expiration or termination, notwithstanding that the clauses themselves do not expressly provide for this.
   5. Waiver.No indulgence which either Party ("the grantor") may grant to the other ("the grantee") shall constitute a waiver of any of the rights of the grantor, who shall not thereby be precluded from exercising any rights against the grantee which may have arisen in the past or which may arise in the future.
   6. Severability.The invalidity or unenforceability for any reason of any of the provisions set out in the Agreement shall not prejudice or affect the validity or enforceability of the remainder of the Agreement. If further lawful performance of the Agreement or any part of it shall be made impossible by the final judgment or final order of any court of competent jurisdiction, commission or government agency or similar authority having jurisdiction over either Party, the Parties shall use their reasonable endeavours to agree amendments to the Agreement so as to comply with such judgement or order.
   7. Preservation of rights.(i) No third party rights: No term of this Agreement shall be enforceable by a third party. (ii) No assigning this Agreement: The Referrer may not assign, transfer, charge or otherwise encumber, create any trust over or deal in any manner with this Agreement or any right, benefit or interest under it, nor transfer, novate or subcontract any of its obligations under this agreement. (iii) No amendment: no amendment, addition, alteration or consensual cancellation of this Agreement or any provision or term hereof shall be binding unless recorded in a written document signed by the parties.
   8. Liability.The Company does not exclude or limit liability for any liability that cannot be excluded by law. Subject to the preceding sentence, the Company shall not be liable (whether in contract or delict) for: (a) loss of actual or anticipated profits; (b) loss of goodwill; (c) loss of business; (d) loss of revenue or of the use of money; (e) loss of contracts; (f) loss of anticipated savings; (g) loss of data and/or undertaking the restoration of data; or (h) any special, indirect or consequential loss; and such liability is excluded whether it is foreseeable, known, foreseen or otherwise. For the avoidance of any doubt, clauses (a) to (g) recorded in this paragraph apply whether such damage or loss is direct, indirect, consequential or otherwise.
   9. Applicable Law and Jurisdiction.This Agreement shall be governed by and construed in accordance with the laws of Hong Kong.
   10. The Company reserves the right to cancel this Agreement if at any time it is felt that the promotion and/or the The Referrer brings the name of Company and or its products into disrepute.
   11. Definitions.In this Agreement: “he/him” is interchangeable with “she/her” and refers to both genders.
   12. Interpretation. The headings to and within clauses of this Agreement are for convenience and reference only and do not form a part of this Agreement and shall not in any way affect the interpretation of this Agreement.
10. Commission
    1. There are no fees or costs to sign up as a Referrer.
    2. There are no ongoing fees payable to remain a Referrer.
    3. Referrers can resign at anytime. In such event, all their retail and downline Referrer commissions shall be forfeited.
    4. All commissions are paid via PayPal in US Dollars and all retail sales are made online in US Dollars. This means all Referrers need to have a PayPal account which is free to set up. They then link their bank account to their PayPal account and can withdraw their commission to their bank account in whichever country they reside. PayPal is an international payment transfer service and will be able to pay you in virtually any country in the world.
    5. Active Referrers are paid referral commission on the 1st working day of each month, for the previous month.
    6. Referrers can login to their account panels and track their commissions and see all the customers and Referrers that generate them income.
    7. Each product that you sell earns you a retail commission, based on the selling price. This retail commission is paid to you as long as you remain an active Referrer and the customer continues paying.
    8. Each time you introduce another Referrer that signs up, you receive a Referral commission off each successful sales that they conclude. This Referral commission is paid to you as long as you remain an active Referrer and the selling Referrer remains active and the customer continues paying. Those that you have signed up are called your downline.
    9. To remain an active Referrer, you need to sell to the value of US$500 per year, which is automatically assessed at the end of each twelve month period. If you do not meet this minimum amount, you will become inactive and all commissions, customers, and downline will be forfeited to the company. Should you wish, you may re-apply to become a Referrer, however none of your previous customers or downline will be re-allocated to you.

    1. 20% retail commission plus 5% commission off the sales that those your recruit into your downline
    2. You only start earning retail and downline commission after your first student, i.e. your first retail student/customer is excluded. (This is designed to prevent parents from registering as Referrers and then signing up their own child to earn the Referrer discount/commission).
